Effective from 1 March 2026

1. DEFINITIONS AND SCOPE

Republic of Nomado AB (Swedish org. nr 556642-3447), hereinafter “Nomado,” is a company registered in the Kingdom of Sweden operating as an active adventure management company and destination management company (DMC) with operational focus on Sweden, Scandinavia, and the wider Nordic region.

“Agent” means any travel advisor, tour operator, travel planning professional, corporate entity, family office, or other business entity that engages Nomado’s services. Nomado operates exclusively on a business-to-business (B2B) basis. Direct bookings from individual consumers are not accepted.

“Traveller” means the end client or clients participating in any programme arranged by Nomado on behalf of the Agent.

“Booking” means a confirmed arrangement for services as set out in a written booking confirmation issued by Nomado.

“Programme” means the full itinerary, activities, logistics, and services arranged by Nomado under a Booking.

“Paying Party” means the Traveller, the Agent, the Agent’s host network or consortium, or any other party that remits payment to Nomado in connection with a Booking. The identity of the Paying Party depends on the pricing model agreed between Nomado and the Agent (see Section 4).

These Terms & Conditions (“Terms”) govern the entire contractual relationship between Nomado and the Agent. By submitting a booking request, remitting payment, or otherwise engaging Nomado’s services, the Agent confirms unconditional acceptance of these Terms.

Where the Agent packages Nomado’s ground services into a travel product sold to consumers, the Agent assumes sole and full responsibility for compliance with the EU Package Travel Directive (2015/2302) as implemented by the Swedish Package Travel Act (Paketreselagen, SFS 2018:1217) and any equivalent consumer protection legislation applicable in the Agent’s own jurisdiction. Nomado’s obligations under these Terms are limited to the Agent as its direct contractual counterparty. Nomado does not assume any direct duty of care, contractual or otherwise, towards the Traveller.


2. SERVICES AND PLANNING

Nomado specialises in designing and managing complex active adventure itineraries in remote and wilderness environments across the Nordic region. Services include, but are not limited to: itinerary design and route planning, arrangements for certified guides, wilderness logistics, accommodation sourcing, local transportation, equipment coordination, safety and contingency planning, and on-the-ground operational management throughout the Programme.

Each Programme is developed individually in response to the Agent’s brief. Due to the research, supplier negotiation, and logistical planning required for bespoke adventure programmes, Nomado may apply a non-refundable planning fee for particularly complex or time-sensitive requests. Any such fee will be communicated and agreed upon in writing before planning work commences.

Nomado engages independent third-party suppliers, including but not limited to accommodation providers, transport operators, certified mountain and wilderness guides, and activity providers, to deliver individual components of the Programme. The Agent acknowledges that these suppliers operate under their own terms of engagement and bear independent responsibility for the services they provide.

3. CONFIRMATION AND DEPOSIT

A Booking is confirmed when Nomado has issued a written booking confirmation and has received the required deposit. The deposit amount is thirty per cent (30%) of the total Programme price and is non-refundable except as expressly stated in these Terms.

The remaining balance of seventy per cent (70%) is due no later than forty-five (45) calendar days before the first date of service. For Bookings made within 45 days of the first date of service, the full Programme price is payable immediately upon confirmation.

Nomado reserves the right to release provisionally held supplier allocations, including guide bookings, accommodation, and transport, if the deposit is not received within the timeframe specified in the quotation. Nomado shall not be liable for any cost increase, reduced availability, or Programme modification resulting from a delay in payment.

4. PRICING AND COMMISSION

Nomado operates under two pricing models, as agreed in writing between Nomado and the Agent for each Booking:

4.1 Gross Rate Model

Under the gross rate model, Nomado quotes a total Programme price that includes the Agent’s agreed commission. The Traveller pays the full gross amount directly to Nomado. Following the successful completion of travel, Nomado remits the agreed commission to the Agent or, where applicable, to the Agent’s host network or consortium in accordance with the commission terms agreed between Nomado and the Agent.

4.2 Net Rate Model

Under the net rate model, Nomado quotes a net Programme price to the Agent. The Agent is responsible for adding its own margin or commission to construct a client-facing price. The Agent or the Agent’s host network invoices the Traveller for the gross amount and remits the net amount to Nomado in accordance with the payment schedule set out in the booking confirmation. Under this model, the Agent or its host network is responsible for collecting payment from the Traveller and remitting the net amount to Nomado, regardless of whether the Agent has received the corresponding funds from the Traveller.

4.3 Commission Terms

Commission rates, payment timing, and the designated commission recipient (the Agent directly, or the Agent’s host network) shall be agreed in writing before or at the time of Booking confirmation. Unless otherwise agreed, commission under the gross rate model is payable by Nomado within thirty (30) calendar days following the last date of service of the Programme. Commission is payable only upon completion of travel. No commission is due on cancelled Bookings, unused Programme components, or amounts refunded to the Traveller.

4.4 Pricing Validity and Adjustments

Quoted prices are valid for the period stated on the quotation. After expiry, prices may be revised due to changes in supplier costs, seasonal adjustments, exchange rate movements, or modifications to applicable taxes and levies.

Nomado reserves the right to correct manifest errors in a quotation at any time before Booking confirmation. Where circumstances beyond Nomado’s reasonable control result in cost increases after confirmation — including but not limited to changes in government taxes, fuel surcharges, regulatory fees, or currency fluctuations exceeding five per cent (5%) against the quoted currency — Nomado may adjust the confirmed price, provided the Agent is notified promptly in writing.

All quoted prices are exclusive of any taxes, duties, or surcharges applicable in the Agent’s or the Traveller’s jurisdiction. The Agent is solely responsible for determining and advising the Traveller of any such additional amounts.

5. PAYMENT

5.1 Payment Under the Gross Rate Model

Where the gross rate model applies, the Traveller pays the full Programme price directly to Nomado in accordance with the payment schedule set out in the booking confirmation or invoice. Nomado will issue invoices or payment requests directly to the Traveller as coordinated with the Agent. The Agent is responsible for ensuring that the Traveller is aware of and adheres to the payment schedule. If the Traveller fails to make payment by the due date, Nomado reserves the right to cancel the Booking and apply the cancellation charges set out in Section 6. Nomado may, but is not obligated to, pursue overdue amounts directly from the Traveller.

5.2 Payment Under the Net Rate Model

Where the net rate model applies, the Agent or the Agent’s host network collects the gross amount from the Traveller and remits the net amount to Nomado in accordance with the payment schedule in the booking confirmation. The Agent’s payment obligation to Nomado is unconditional and independent of whether the Agent or its host network has received corresponding funds from the Traveller. If the net amount is not received by the due date, Nomado reserves the right to cancel the Booking and apply the cancellation charges set out in Section 6, and the Agent shall remain liable for all amounts due.

5.3 Payment Methods

Payment shall be made by wire transfer to the bank account specified on the invoice. Invoices may be issued in SEK, EUR, or USD as agreed between the parties. Where payment is made in a currency other than the invoiced currency, any exchange rate difference or bank conversion fee is borne by the paying party.

Payment by credit card (Visa, Mastercard, American Express) may be arranged via a secure payment link upon request. A processing surcharge of three per cent (3%) applies to all credit card transactions. To avoid this surcharge, a wire transfer is recommended and may be offered to the Traveller as a cost-saving alternative. In the event of a chargeback initiated by any cardholder, the Agent shall indemnify Nomado for the full chargeback amount plus any fees, penalties, or administrative costs incurred by Nomado as a result.

5.4 Late Payment

All payments are due within the timeframe stated on the invoice or booking confirmation. In the event of late payment, Nomado is entitled to charge statutory interest in accordance with the Swedish Interest Act (Räntelagen, SFS 1975:635), calculated from the due date until the date of full payment. Nomado further reserves the right to suspend or cancel services until all outstanding amounts, including accrued interest and any collection costs, are settled in full.

5.5 Refunds

Where a refund becomes due under these Terms, it will be processed to the original payment source where practicable. Under the gross rate model, refunds are made to the Traveller. Under the net rate model, refunds are made to the Agent or the Agent’s host network. The timing and amount of any refund are subject to the cancellation provisions set out in Section 6 and Nomado’s ability to recover prepaid supplier costs. No interest is payable on refunded amounts.

5.6 Agent’s Residual Responsibility

Regardless of the pricing model applied, the Agent remains the contracting party under these Terms and bears responsibility for ensuring that all payment obligations are met. Where the Traveller pays Nomado directly under the gross rate model, the Agent’s responsibility extends to facilitating timely payment, communicating payment terms to the Traveller, and cooperating with Nomado in resolving any payment disputes. Nomado’s contractual remedies, including cancellation and the application of cancellation charges, may be exercised against the Agent where payment obligations are not fulfilled, irrespective of which party was responsible for making the payment.

6. CANCELLATION BY THE AGENT

All cancellations must be submitted to Nomado in writing. The effective date of cancellation is the date on which Nomado receives written notice. The following charges apply, calculated as a percentage of the total confirmed Booking value:

90 or more days  before the first date of service: 30% (deposit retained)

60 to 89 days  before the first date of service: 50%

46 to 59 days  before the first date of service: 80%

45 days or fewer  before the first date of service, or failure to arrive: 100%

Certain Programme components carry non-refundable or partially refundable supplier commitments irrespective of the cancellation schedule above. These include, but are not limited to, chartered helicopter transfers, specialist guide retainers, peak-season accommodation deposits, permits for restricted areas, and the procurement of custom equipment. Where such commitments exist, they will be identified in the quotation and are payable in full upon cancellation at any stage.

Postponement requests will be treated as cancellations and re-bookings unless Nomado is able, on a best-efforts basis, to negotiate revised dates with all affected suppliers. Any cost difference arising from revised dates, seasonal pricing, or supplier availability is the Agent’s responsibility.

No refund or credit shall be issued for unused portions of a confirmed Programme, including services that the Traveller declines, fails to attend, or is unable to participate in for any reason, including but not limited to late arrival, early departure, illness, injury, or removal from an activity under Section 9 of these Terms.

Consumer rights note:  Where the Traveller has purchased a package travel arrangement from the Agent, the Traveller retains any statutory cancellation rights provided under the Swedish Package Travel Act (SFS 2018:1217, Chapter 4) or equivalent consumer legislation in the Agent’s jurisdiction. The exercise of such statutory rights by a Traveller is a matter between the Agent and the Traveller. The Agent remains liable to Nomado for all charges incurred under these Terms regardless of the Agent’s own refund obligations to the Traveller.

7. AMENDMENTS TO CONFIRMED BOOKINGS

Nomado will accommodate reasonable amendments to confirmed Programmes where operationally feasible. An amendment fee may apply, in addition to any cost differences arising from revised supplier arrangements.

During execution of an active adventure Programme, route modifications, activity substitutions, or schedule adjustments may be required by Nomado’s operational team or appointed guides in response to weather conditions, trail or water conditions, wildlife activity, equipment considerations, group fitness levels, or safety assessments. Such operational decisions are made in the professional judgment of Nomado’s personnel and are final. They do not constitute a breach of the agreed Programme and do not entitle the Agent or Traveller to any refund, compensation, or price reduction.

8. INSURANCE REQUIREMENTS

It is a mandatory condition of every Booking that all Travellers hold valid, comprehensive travel and medical insurance for the full duration of the Programme. Given the active nature of Nomado’s itineraries and the remote environments in which they frequently operate, insurance coverage must be appropriate to the specific activities and locations involved.

8.1 Required Coverage (Mandatory)

Emergency medical treatment, including treatment abroad

Emergency evacuation, including helicopter extraction from remote or mountainous terrain

Repatriation to the Traveller’s country of residence

Explicit coverage for all adventure activities specified in the itinerary (including but not limited to backcountry skiing, mountaineering, glacier travel, trekking, kayaking, wild camping, cycling, or trail running)

8.2 Strongly Recommended Coverage

Search and rescue operations

Trip cancellation and curtailment

Trip interruption and delay

Loss, theft, or damage to personal belongings and equipment

The Agent is responsible for verifying that adequate insurance is in place for every Traveller before the Programme start date. Nomado reserves the right to request evidence of valid insurance coverage before the commencement of activities, particularly for high-altitude, glacier, deep-wilderness, or extended backcountry itineraries. If satisfactory evidence cannot be provided, Nomado may decline to proceed with the relevant activities without any obligation to refund or provide alternative services.

Nomado does not act as an insurance intermediary and accepts no liability whatsoever for the adequacy, scope, or validity of any insurance policy held by the Traveller. Any costs, losses, or expenses arising from insufficient, lapsed, or inapplicable insurance coverage are the sole responsibility of the Agent and/or the Traveller.

9. HEALTH, FITNESS AND PARTICIPANT CONDUCT

Nomado’s Programmes frequently involve sustained physical activity in challenging terrain where access to medical infrastructure may be limited or require significant evacuation time. It is the Agent’s responsibility to ensure that every Traveller is fully informed about the physical demands and inherent risks of their selected Programme before confirmation.

The Agent must disclose to Nomado, in writing and before confirmation, any pre-existing medical conditions, physical limitations, mobility restrictions, cardiovascular conditions, allergies, medication requirements, or psychological conditions that may affect the Traveller’s ability to participate safely. The Agent warrants that all information provided is accurate and complete. Failure to disclose material health information may result in the Traveller’s exclusion from activities at the sole discretion of Nomado’s guides, without entitlement to any refund or compensation.

Travellers are required to comply with all instructions issued by Nomado’s guides, safety coordinators, and applicable local authorities during the Programme. Nomado’s operational personnel hold final and binding authority over participation decisions in the field. Where a Traveller’s behaviour, physical condition, level of intoxication, or failure to follow safety instructions is deemed by Nomado’s personnel to present a risk to the Traveller, other participants, staff, or the environment, that Traveller may be removed from the activity or the Programme entirely. No refund, compensation, or alternative arrangement shall be due in such circumstances.

The consumption of alcohol or controlled substances before or during active adventure activities is prohibited unless expressly permitted by the lead guide for a specific occasion.

10. ASSUMPTION OF RISK AND INHERENT DANGERS

Active adventure travel in Nordic wilderness environments involves inherent risks that cannot be fully eliminated regardless of the care, skill, and precautions taken by Nomado and its suppliers. These risks include, but are not limited to:

Adverse and rapidly changing weather conditions, including extreme cold, high winds, storms, whiteout conditions, heavy precipitation, and reduced visibility

Hazardous terrain, including avalanche-prone slopes, crevassed glaciers, unstable rock, river crossings, exposed ridgelines, and open-water conditions

Wildlife encounters

Equipment failure despite proper maintenance

Remoteness from medical facilities, with potential evacuation delays due to weather, terrain, or logistical constraints

Physical exhaustion, altitude-related illness, hypothermia, frostbite, and other physiological risks associated with strenuous activity in demanding environments

Risks arising from the actions, omissions, or physical condition of other participants in the group

By confirming a Booking, the Agent acknowledges that it has been made aware of the inherent risks associated with the selected Programme and accepts responsibility for communicating these risks clearly and completely to the Traveller. The Agent further acknowledges that participation in adventure activities is voluntary and that neither the Agent nor the Traveller shall hold Nomado liable for injury, loss, damage, or death resulting from the materialisation of inherent risks, except where caused by Nomado’s own proven gross negligence (grov vårdslöshet) or intentional misconduct (uppsåt).

Nomado strongly recommends that the Agent obtain a signed acknowledgement of risk and release from each Traveller before the Programme. Nomado may provide a template document for this purpose upon request. The Agent’s failure to obtain such acknowledgement shall not diminish or transfer any of the Agent’s own obligations under these Terms.

11. PROPERTY AND DAMAGE

The Agent and/or the Traveller bear full financial responsibility for any damage caused to accommodations, vehicles, watercraft, equipment, or other property provided, rented, or arranged as part of the Programme. This includes damage resulting from misuse, negligence, failure to follow instructions, or accidental harm. Nomado will invoice the Agent for the full cost of repair or replacement as determined by the relevant supplier or property owner. Payment is due within fourteen (14) calendar days of the invoice date.

12. FORCE MAJEURE

Nomado shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond Nomado’s reasonable control (“Force Majeure”). Force Majeure events include, but are not limited to: natural disasters, pandemics or epidemics, armed conflict, terrorism, civil unrest, government-imposed travel restrictions or border closures, sanctions, industrial action, volcanic eruption, wildfire, severe and unseasonable weather events, prolonged infrastructure disruption, and the withdrawal of regulatory permissions required for the Programme.

Standard weather conditions typical of the Nordic region and the season in which the Programme is scheduled — including cold temperatures, precipitation, wind, reduced daylight, snow, ice, and variable trail or water conditions — are considered foreseeable elements of the operating environment. They do not constitute Force Majeure and do not entitle the Agent or Traveller to cancellation, modification, refund, or compensation.

Where Force Majeure prevents the delivery of a Programme, Nomado will use commercially reasonable efforts to recover prepaid supplier costs. Amounts that cannot be recovered from third-party suppliers will remain the Agent’s financial responsibility. No additional compensation, damages, or consequential losses shall be payable by Nomado in connection with a Force Majeure event.

13. LIMITATION OF LIABILITY

Nomado acts as a coordinator, engaging independent third-party suppliers to deliver individual components of each Programme. While Nomado exercises professional care in the selection, instruction, and oversight of its supplier network, each supplier operates as an independent contractor under its own terms and bears independent liability for the services it provides. Nomado is not vicariously liable for the acts, omissions, negligence, or wilful misconduct of any third-party supplier.

13.1 Exclusion of Liability

Subject to mandatory provisions of applicable Swedish law that cannot be excluded by contract, Nomado shall not be liable for:

Personal injury, illness, death, loss, or damage arising from or in connection with services provided by third-party suppliers

The acts, omissions, negligence, or defaults of the Agent or any Traveller

Losses arising from the Traveller’s failure to hold adequate insurance as specified in Section 8

Losses arising from the Agent’s failure to disclose material health information as specified in Section 9

Losses arising from the materialisation of inherent risks of adventure travel as described in Section 10

Any indirect, incidental, consequential, special, or punitive losses, including but not limited to lost profits, loss of anticipated enjoyment, loss of business opportunity, reputational harm, or additional travel expenses incurred as a result of disrupted plans

13.2 Liability Cap

In all cases where liability is established against Nomado, Nomado’s maximum aggregate liability in respect of any single Booking shall not exceed the total Programme price received by Nomado for that specific Booking, less any commissions payable to the Agent or the Agent’s host network and less any amounts refunded. This cap applies to all claims arising from that Booking, whether brought individually or in aggregate, in contract, tort (including negligence), or otherwise.

13.3 Preserved Liability

Nothing in these Terms excludes or limits Nomado’s liability for death or personal injury caused by Nomado’s own proven gross negligence (grov vårdslöshet) or intentional misconduct (uppsåt), or to the extent that such exclusion or limitation is prohibited by mandatory Swedish law. This preserved liability reflects the limitations on contractual liability exclusion under Swedish tort law (Skadeståndslagen, SFS 1972:207).

14. INDEMNIFICATION

The Agent shall indemnify, defend, and hold harmless Nomado, its directors, employees, agents, and subcontractors from and against all claims, demands, actions, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from or in connection with:

Any breach by the Agent of these Terms, including but not limited to failure to make timely payment, failure to communicate required information, or misrepresentation of Traveller capabilities

Claims brought by or on behalf of any Traveller against Nomado, where such claims arise from the Agent’s own acts, omissions, negligence, or failure to comply with applicable consumer protection legislation in the Agent’s jurisdiction

The Agent’s failure to obtain adequate insurance for Travellers, to communicate inherent risks, or to obtain appropriate waivers or acknowledgements from Travellers

Any misrepresentation by the Agent to the Traveller regarding the nature, difficulty, risk level, or inclusions of the Programme

Claims arising from the Agent’s marketing, pricing, or sale of the Programme to end consumers, including any alleged breach of package travel regulations

This indemnification obligation shall survive the completion, cancellation, or expiry of the Booking and these Terms.

15. AGENT’S REPRESENTATIONS AND WARRANTIES

By submitting a Booking, the Agent represents and warrants to Nomado that:

The Agent is a duly authorised business entity, validly existing under the laws of its jurisdiction, and has full authority to enter into and perform its obligations under these Terms

The Agent holds all licences, registrations, and authorisations required by applicable law to sell, arrange, or facilitate travel services in its jurisdiction, including any required registration as a package travel organiser or retailer.

The Agent will comply with all applicable consumer protection, package travel, and data protection legislation in its own jurisdiction when selling or marketing the Programme to end consumers.

All information provided to Nomado regarding Traveller identities, contact details, health conditions, fitness levels, dietary requirements, and other relevant particulars is accurate, complete, and provided with the Traveller’s informed consent.

The Agent has informed, or will inform, each Traveller of the physical demands, inherent risks, insurance requirements, and Terms applicable to the Programme before the Booking is confirmed.

The Agent will not make any representations to Travellers or other third parties regarding Nomado’s services, capabilities, or guarantees that Nomado has not expressly confirmed in writing.

A material breach of any of the above representations entitles Nomado to cancel the Booking immediately, retain all payments received, and claim damages for any loss suffered as a result of the breach.

16. INTELLECTUAL PROPERTY AND CONFIDENTIALITY

All itineraries, proposals, route designs, programme concepts, pricing structures, supplier information, and supporting materials produced by Nomado constitute the proprietary intellectual property and confidential business information of Republic of Nomado AB.

These materials may not be reproduced, disclosed to third parties, used to solicit competing quotations, or repurposed for any programme not contracted through Nomado, without Nomado’s prior written consent. Materials provided during the quotation or proposal stage remain the property of Nomado regardless of whether the Booking proceeds.

The Agent shall not use Nomado’s name, branding, logos, or proprietary materials in any marketing, advertising, or public communication without Nomado’s prior written approval.

17. ENVIRONMENTAL RESPONSIBILITY

Nomado operates within some of Europe’s most ecologically sensitive wilderness areas. Programmes are designed in accordance with the Swedish Right of Public Access (Allemansrätten) and all applicable environmental protection regulations, including the Swedish Environmental Code (Miljöbalken, SFS 1998:808) and relevant provisions governing national parks, nature reserves, and protected habitats.

Travellers are expected to adhere to Leave No Trace principles and follow all guidance from Nomado’s guides on responsible conduct in natural environments, including waste management, wildlife interactions, fire safety, use of water sources, and camp placement.

Nomado prioritises partnerships with locally owned service providers, community-based operators, and suppliers who demonstrate commitment to sustainable practices.

18. DATA PROTECTION

Republic of Nomado AB processes personal data in accordance with the EU General Data Protection Regulation (GDPR, Regulation 2016/679) and supplementary Swedish data protection provisions. Personal data provided by the Agent is processed solely to fulfil contracted services, ensure safety, communicate about the Programme, and meet statutory obligations.

Nomado may transfer personal data to third-party suppliers (accommodation providers, guide services, transport operators, permit-issuing authorities) to the extent necessary for the delivery of the Programme. Such transfers are limited to the minimum data required for each supplier to perform its role.

By submitting a Booking, the Agent warrants that it has obtained all required consents from relevant Travellers for Nomado to process and, where necessary, transfer their personal data. The Agent further warrants that it will comply with all applicable data protection legislation in its own jurisdiction in connection with the collection and transmission of Traveller data to Nomado.

19. GOVERNING LAW AND DISPUTE RESOLUTION

19.1 Governing Law

These Terms are governed by and shall be construed exclusively in accordance with the substantive laws of the Kingdom of Sweden, without regard to its conflict-of-laws provisions and without regard to the United Nations Convention on Contracts for the International Sale of Goods (CISG), which is expressly excluded.

19.2 Jurisdiction

Any dispute arising from or in connection with these Terms, including disputes regarding their existence, validity, interpretation, performance, breach, or termination, shall be submitted to the exclusive jurisdiction of the competent courts of Sweden. The parties irrevocably submit to this jurisdiction and waive any objection to venue or to the inconvenience of the forum.

19.3 Good-Faith Negotiation

Before initiating formal legal proceedings, the parties shall endeavour to resolve the dispute through good-faith negotiation within thirty (30) calendar days from the date on which the dispute is raised in writing.

19.4 International Agents

Where the Agent is domiciled or registered outside of Sweden, the Agent expressly agrees that Swedish law and Swedish court jurisdiction apply to the exclusion of any law or forum that might otherwise apply under the Agent’s domestic legislation or international private law conventions. The Agent acknowledges that it has had the opportunity to review these Terms, to seek independent legal advice in its own jurisdiction, and to accept the choice-of-laws and forum provisions set out herein as a material term of the contractual relationship.

19.5 Enforcement

A judgment obtained by Nomado in a Swedish court may be enforced in any jurisdiction in which the Agent has assets or is domiciled, to the extent permitted by applicable law and international treaties. The Agent shall bear all costs associated with the enforcement of such judgments, including legal fees incurred by Nomado in enforcement proceedings.

19.6 Regulatory Authorities

For matters pertaining to consumer rights under the Swedish Package Travel Act (SFS 2018:1217), the Swedish Consumer Agency (Konsumentverket) serves as the supervisory authority. For questions regarding travel guarantees under the Swedish Travel Guarantee Act (SFS 2018:1218), Kammarkollegiet is the competent regulatory body.

20. GENERAL PROVISIONS

20.1 Limitation Period

Any claim by the Agent against Nomado arising from or in connection with a Booking must be notified in writing within thirty (30) calendar days of the last date of service under that Booking. Claims not notified within this period are deemed waived and time-barred, to the maximum extent permitted by applicable law. For the avoidance of doubt, this limitation period does not restrict any mandatory statutory claim periods available to Travellers under applicable consumer protection legislation; however, such statutory rights are a matter between the Agent and the Traveller.

20.2 Assignment

The Agent may not assign, transfer, novate, or subcontract any of its rights or obligations under these Terms or any Booking without Nomado’s prior written consent. Nomado may assign or subcontract any part of its obligations to qualified third parties, provided the standard of service is not materially diminished.

20.3 Third-Party Rights

These Terms are entered into solely for the benefit of Nomado and the Agent. No Traveller or other third party shall have any right to enforce any provision of these Terms, whether under the Swedish Contracts Act (Avtalslagen, SFS 1915:218) or otherwise. The Agent is solely responsible for any contractual or statutory obligations it owes to the Traveller.

20.4 Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unenforceable, or in conflict with mandatory law, that provision shall be modified to the minimum extent necessary to make it enforceable while preserving the original commercial intent of the parties. If modification is not possible, the offending provision shall be severed. The validity and enforceability of all remaining provisions shall be unaffected. The invalidity of any provision in one jurisdiction shall not affect the validity of that provision in any other jurisdiction.

20.5 No Waiver

Nomado’s failure or delay in exercising any right, remedy, or power under these Terms shall not constitute a waiver of that right, remedy, or power. Any waiver by Nomado must be in writing and shall apply only to the specific instance in respect of which it is given.

20.6 Entire Agreement

These Terms, together with the applicable quotation, booking confirmation, and Privacy Policy, constitute the entire agreement between Nomado and the Agent. All prior negotiations, discussions, representations, and correspondence — whether written or oral — are superseded upon confirmation of a Booking. In the event of conflict between these Terms and the booking confirmation, the booking confirmation shall prevail to the extent of the conflict.

20.7 Notices

All formal notices under these Terms must be delivered in writing to the contact details specified in the booking confirmation (for the Agent) or to the address and email set out in the Company Details section below (for Nomado). Notices sent by email are deemed received on the next business day following transmission, provided no delivery failure notification is received.

20.8 Language

These Terms are drafted in English. In the event that a translation is provided for convenience, the English-language version shall prevail in all matters of interpretation.

20.9 Amendments to Terms

Nomado reserves the right to amend these Terms. Amendments take effect for Bookings confirmed after the date of publication of the revised Terms. Existing confirmed Bookings continue to be governed by the version of the Terms in effect at the time of confirmation.
